LIVERMORE REPUBLICAN TOWN COMMITTEE
BYLAWS

Article I

The name of this Committee shall be The Livermore Republican Town Committee.

Article II ~ MEMBERS

All Livermore Republicans attending a biennial Town Caucus will be members of the Town Committee. Additional members may be added at future meetings by a simple majority vote. All members must be residents of Livermore and registered Republicans. All Town Republicans elected as Delegates or Alternates to the State Convention will be duly elected members of the Town Committee.

Article III ~ OFFICERS AND ELECTIONS

1. Livermore Town Officers shall consist of a Chairperson, Vice Chairperson, Secretary, Treasurer and Finance Director. The powers and duties of each position are specified in Article V. Officer’s positions can be combined according to the pleasure of the Committee.

2. Election of these officers shall be biennially by the Town Committee during the Town Caucus. The first meeting of the Livermore Town Committee shall be called to order by the Chairperson chosen at the Town Caucus.

3. The Town Committee shall fill a vacancy in any office at a legally called meeting as a vacancy or resignation occurs, after due notice has been given to all members that a vacancy has occurred.

Article IV ~ DUTIES OF THE TOWN COMMITTEE

The Town Committee shall:

· Encourage voters to register and enroll in the Republican Party and support all Republican Candidates
· Issue publicity supporting Republican Candidates and provide proper information to the public
· Cooperate and support the County and State Committees
· Seek out candidates to run for public office
· Take responsibility for the welfare of the Republican Party in the Town of Livermore.

No member shall act on behalf of the Town Committee without prior approval of either the Town Committee or the Executive Committee, as defined in Article V, Section 6.

Article V ~ DUTIES OF THE OFFICERS

1. The Chairperson shall:

· Preside over the Town Committee meetings
· Be responsible for the orderly functioning of the Committee
· Appoint subcommittees as necessary to assist in the welfare and support of the Committee and Republican Party
· Assist in the recruitment of the Candidates for public office.

2. The Vice Chairperson shall:

· Preside over the meetings of said Committee in the absence of the Chairperson
· Perform the same duties in his/her absence.

3. The Secretary shall:

· Keep proper records of all Committee activities
· Attend to the correspondence
· Notify members of upcoming meetings and events
· Take the proper minutes to all Committee meetings
· Maintain a current list of the Committee membership
· Perform such duties as normally performed by the Secretary of such Committees.

4. The Treasurer shall:

· Keep a proper and accurate record of the Committee funds
· Report regularly to the members
· Pay the bills as authorized by the Chairperson and the Executive Committee
· No money shall be disbursed without the full approval of the Chairperson and the Executive Committee

5. The Finance Director shall:

· Direct and organize fund raising activities with the full cooperation and membership of the Town Committee
· In the absence of a Finance Director, the Vice Chairperson may perform such duties as assigned to the Finance Director

6. The Executive Committee shall consist of the elected Town Committee Officers. It is the duty of the Executive Committee to direct and disburse all Town Committee funds for political purposes only. A majority of three of the Executive Committee constitutes a quorum.

7. Meetings of the Executive Committee shall be called by the Chairperson, but can also be called by other Officers, if there is official business to discuss.

Article VI ~ MEETINGS

1. A meeting of the Town Committee may be held at any time upon the call of the Chairperson. In the Chair’s absence or inability to call a meeting, the Vice Chairperson may do so.

2. Notice of all meetings can be done in writing, e-mail, phone or publication. Notice should be given at least seven days prior to the meeting.

3. The Town Committee shall hold at least six meetings per year.

Article VII ~ QUORUM

Four members of the Town Committee shall constitute quorum, subject to change by the call of the Committee.

Article VIII ~ AMENDMENTS

These Bylaws may be amended at any Town Committee meeting by a two-thirds vote, provided a notice in writing of the proposed amendment is given to each member at least one week before the date of such meeting.

Article IX ~ RULES

Town, County and State Republican Organizations operate under “Robert’s Rule of Order” and shall prevail at all meetings of the Town Committee.
